1. A.  Three (3) Unit Rental Complex located at 3907 Timberlake Road, Johnson City, Tennessee (Tax Map/Parcel No.: 030H/D/031.00) (“Jefferson House”) to be sold, on the premises, on SATURDAY, OCTOBER 1, 2016 AT 10:00 A.M.

 

B. Four (4) Lots located on Highway 81 South (near 2152 Highway 81 South and adjacent to store) (collectively, “Farm Lots”). Sale to be conducted, on the premises, on SATURDAY, OCTOBER 1, 2016 AT 11:30 A.M.  All four (4) vacant lots may be sold: separately; as one or more groups; or as a whole.  Lots are identified as follows:

The sale of the real property shall be subject to the orders, judgments and decrees of said Court (including, without limitation, previously-entered orders, judgments and decrees) in the above-referenced proceeding. The sale of all parcels of real property is made expressly subject to the approval of the Washington County Probate Court in Docket No. P2285.  If any sale is not approved by said Court in said proceeding, then the sale is null, void and without force or effect and the buyer, in such event, shall receive a refund of the buyer’s deposit.  Moreover, on the day of the sale, the sale of all such parcels is also made expressly subject to Sellers’ confirmation and approval.

 

 2. The real property will be sold for ten percent (10%) of the purchase price paid on the day of sale as a deposit and with the balance (in cash or certified funds) paid with delivery of deed.  The deposit may be paid by cash or check. A ten percent (10%) buyer’s premium shall be added to the final bid to determine the purchase price for all real property sold.  The closing on the sale and purchase of any and all lots sold shall occur within thirty (30) days of the confirmation and approval of the sale of such lot by the Probate Court.  The closing shall be conducted by an attorney licensed to practice law in the State of Tennessee.

 

3. The lots shall be sold subject to any and all restrictions set forth in the plats or otherwise of record.  The lots shall be sold subject to any and all restrictions placed thereon by the applicable Planning Commission.  The lots shall be sold subject to all reservations or easements in prior instruments of record or otherwise visible upon inspection of the lots.

 

5. The Selling Parties have not made any representations and/or warranties as to the utilities, if any, which are available to the lots.  The buyers are solely responsible for determining the utilities available for each lot.

 

6. The Farm Lots are not on a public sewer system.  The Selling Parties have not made any representations and/or warranties in relation to the ability of any one or more of the Farm Lots to support a conventional subsurface sewage disposal system (i.e., a septic system).   The Farm Lots are sold subject to all applicable provisions and restrictions set forth in Plat Book 13, Page 210 (“Farm Plat”) including, without limitation, the addendum to said plat referencing conventional subsurface sewage disposal systems.  Without limiting the generality of the foregoing provisions set forth in this Paragraph 6, please note the following:

 

(a) Lot 11 (which is a part of Parcel 3 above) has been “cut, filled and/or altered” subsequent to the recording of the Farm Plat and subsequent to the performance of any soil mapping.

 

  (b) Parcel 2 has a specific area designated for the conventional subsurface sewage disposal system.

 

  (c) A portion of Parcel 3 has not been mapped; however, Parcel 3 is in excess of five (5) acres.

 

  (d) Parcel 4 has not been mapped; however, Parcel 4 is in excess of five (5) acres.

 

You may obtain a copy of the soil map pertaining to the Farm Lots at the Tennessee Department of Environment & Conservation, Johnson City Environmental Field Office, 2305 Silverdale Road, Johnson City, TN 37601.

 

7. Groupings (Farm Lots Only).

 

(a) Grouping of the Farm Lots will be allowed subject to the provisions set forth herein.

(b) Sellers reserve the right to group one or more adjacent, contiguous Farm Lots and offer the same for sale for an amount which is at least five percent (5%) greater than the total final bids for the applicable Farm Lots.

 

(c) If a bid is made after certain Farm Lots are grouped, then the bidding is re-opened as to those certain Farm Lots.

 

(d) Except as otherwise set forth in the provisions below, a previous bidder cannot be left with part of the Farm Lots upon which he previously placed a successful bid but, instead, all such Farm Lots must be made a part of the grouping.

 

(e) Notwithstanding any provisions contained above to the contrary, at the conclusion of the sale of the Farm Lots, Sellers reserve the right to group all of the Farm Lots together and offer the same for sale as a whole for an amount which is at least five percent (5%) greater than the total final bid for all of the Farm Lots.

 

(f) The Jefferson House shall not be subject to any groupings.

 

 8. Easement – Jefferson House.  Sellers shall reserve an easement for access, ingress, egress and parking along the northwestern portion of the Jefferson House, having a common boundary with property described in the instrument of record in the register’s office for Washington County, Tennessee in Deed Book 428, Page 455 (“Jefferson Village Tract”), Lot 23, Timberlake Subdivision, Section III and Lot 24, Timberlake Subdivision, Section III.  Said easement shall encompass an area of approximately 160 feet x 80 feet.  Said easement shall reserve unto Sellers, their successors and assigns, the right to alter, modify, grade, gravel, pave or change the property upon which the easement is located.  Said easement shall be for the benefit of the Jefferson Village Tract.

 

9. Buyer acknowledges that this agreement is being made and entered into in Washington County, Tennessee and that the laws of the State of Tennessee govern this agreement.  Any dispute, claim or cause of action arising in relation to this agreement or buyer’s participation in this auction sale may only be asserted in a state court of competent jurisdiction located in Washington County, Tennessee.

Buyer acknowledges that this agreement is being made and entered into in Washington County, Tennessee and that the laws of the State of Tennessee govern this agreement.  Any dispute, claim and/or cause of action arising in relation to this agreement and/or buyer’s participation in this auction sale may only be asserted in a state court of competent subject matter jurisdiction located in Washington County, Tennessee.

 

Auctioneer expressly reserves the right to reject any bid(s) not considered to be in the best interest of the sale and/or the Sellers.

 

Announcements on the day of sale take precedence over all others.

 

In regards to the sale of the real property, the terms of the written Auction Sales Agreement shall control.  The buyer will be given possession of the property at closing.
